UP SIGNS, LLC – TERMS & CONDITIONS

Last Updated: 2/25/2026_By placing an order with UP SIGNS, LLC (“Company”), Client (“Customer”) agrees to the following Terms & Conditions.

  1. ARTWORK & CONTENT: Customer represents and warrants that all materials provided are lawful and do not contain offensive, indecent, defamatory, or infringing content. Customer confirms ownership of, or authorization to use, all intellectual property supplied. Company reserves the right to refuse any order at its sole discretion without obligation to disclose reason. 2. PROOFS & FINAL APPROVAL: Electronic proofs are provided for layout, text, and design review only and are not color-accurate representations of final printed output. Customer is solely responsible for reviewing and approving all proofs. Once approved, no changes, cancellations, or refunds will be issued due to the custom nature of signage and graphics. Electronic approvals via email, text message, or invoice system constitute binding acceptance. 3. SPECIFICATIONS, PRICING & CHANGES: Quotes are based on Customer-provided specifications and site conditions. If revisions, corrections, unforeseen conditions, or scope changes arise, Company may revise pricing, timelines, or scope upon notice. Additional fees may apply for added labor, materials, or complexity. 4. ART FILE QUALITY: Vector artwork or raster images at a minimum of 200 DPI at final print size are strongly recommended. Company is not responsible for pixelation, distortion, or image degradation caused by low-resolution or improperly formatted files supplied by Customer. 5. COLOR VARIATION: Color differences may occur due to substrates, inks, lighting, equipment calibration, and production processes. Exact color matching is not guaranteed. Company will produce visually acceptable results using industry-standard methods. 6. DESIGN OWNERSHIP: Unless design services are separately purchased, all artwork created by Company remains the exclusive intellectual property of UP SIGNS, LLC. Customer receives a limited, non-transferable license for the approved final use only. 7. CUSTOMER FILES & MEDIA: Customer is responsible for retaining original files. Company is not liable for loss, damage, or errors in Customer-supplied materials, files, or instructions. 8. ERRORS & REMEDIES: If Company produces a product that materially deviates from the approved proof, Company’s sole obligation is, at its discretion, to repair or remake the product. Consequential, incidental, or indirect damages are excluded, including but not limited to wall damage, paint failure, or electrical rework. 9. MARKETING USE: Company may photograph completed projects for portfolio, website, and marketing use. Customer artwork or proprietary data will not be sold or shared without written consent. 10. PICK-UP, STORAGE & ABANDONMENT: Orders must be picked up within 30 days of completion. Storage fees may apply after 30 days. Products unclaimed after 90 days may be considered abandoned and disposed of without liability. 11. INSTALLATION (GENERAL): Installation schedules may be affected by weather, surface conditions, access limitations, or site readiness. Removal of existing signage is excluded unless stated in writing. Customer is solely responsible for landlord approval, permits, HOA approvals, or governmental authorization unless expressly stated otherwise in writing. a. Third-Party Products Company assumes no responsibility for defects, dimensions, or performance of products supplied by others. b. Customer or Third-Party Installation No warranty applies to installations performed by parties other than Company. 12. MATERIAL-SPECIFIC DISCLAIMERS: Wall Graphics: Adhesion is not guaranteed on recently painted, textured, or contaminated surfaces. Customer must disclose if walls were painted within the last 30 days. Vehicle Magnets: Not recommended for high-speed use; care instructions apply. Dry-Erase Films: Use approved markers only (Avery Marks-A-Lot® or Expo Scents®). 13. TURNAROUND TIMES: Estimated lead times are not guaranteed. Delays caused by material availability, supply chain disruptions, equipment failure, or workload do not constitute breach of contract. 14. CUSTOMER RESPONSIBILITY & RISK OF LOSS: Customer confirms accuracy of dimensions, quantities, spelling, colors, materials, layout, content, and production methods. All sales are final. Risk of loss transfers upon delivery or pickup. Customer represents that products are purchased primarily for business or commercial use unless disclosed otherwise in writing. 15. PAYMENT TERMS: Orders under $200 require payment in full. Orders $200 or more require a minimum 50% non-refundable deposit prior to production. Returned checks incur a $40 fee. Sales tax applies unless valid Florida exemption documentation is provided at order time. Past-due balances may accrue interest at 1.5% per month (18% annually) or the maximum rate allowed by law. Customer is responsible for all collection and attorney fees incurred for unpaid balances. 16. CANCELLATIONS: Cancellations or downgrades after design approval and before production may incur a 20% cancellation fee. No cancellations are permitted once production begins. 17. WARRANTIES: Company warrants workmanship to general industry standards only. No other warranties, express or implied, apply. Remedies are limited to repair, replacement, or credit at Company’s discretion. 18. SHIPPING: FOB Origin. Shipping and handling are not included unless stated. Company is not responsible for carrier damage. Shipping insurance is Customer’s responsibility. 19. EMAIL COMMUNICATION: Customer consents to receive order-related emails, texts, and notifications. 20. LIMITATION OF LIABILITY: To the fullest extent permitted by Florida law, Company shall not be liable for indirect, incidental, consequential, punitive, or special damages. Company’s total liability shall not exceed the amount paid for the product or service. 21. INDEMNIFICATION: Customer agrees to indemnify and hold harmless Company, its owners, employees, and contractors from all claims arising from Customer-provided content, misuse, improper installation, or unauthorized use. 22. FORCE MAJEURE: Company shall not be liable for delays or failure caused by events beyond reasonable control, including acts of God, labor disruptions, supply shortages, transportation failures, or governmental actions. 23. GOVERNING LAW & VENUE: This Agreement shall be governed by the laws of the State of Florida, with exclusive venue in the courts located in the county of Company’s principal place of business. 24. SEVERABILITY: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.25. ENTIRE AGREEMENT: These Terms constitute the entire agreement and may not be modified except in writing signed by Company. By placing an order, Customer agrees to all terms herein.

VEHICLE WRAP & GRAPHICS ADDENDUM
This Addendum applies to all vehicle wraps, partial wraps, decals, lettering, and fleet graphics. Vehicle Condition: Quotes assume a clean, factory-painted vehicle in good condition. Additional cleaning, paint correction, or prep may incur added fees. Paint & Surface Disclaimer: Company is not responsible for damage caused by pre-existing paint failure, aftermarket paint, body repairs, rust, fading, or clear-coat defects. Vinyl removal may lift damaged or repainted surfaces. Adhesion Limits: Adhesion is not guaranteed on repainted, wrapped, ceramic-coated, matte-painted, or damaged surfaces. Curing & Care: Vehicle should not be washed for 7 days post-installation. Automatic washes, pressure washing, or harsh chemicals may reduce lifespan. Environmental Exposure: Heat, UV exposure, road debris, and chemicals affect longevity. Wrap lifespan varies by use and care. Design Variations: Seams, overlaps, relief cuts, and panel breaks are standard industry practice and not defects. Warranty Exclusions: Normal wear, abuse, accidents, or improper care are excluded. Removal: Removal services are not included unless stated. Removal may reveal paint inconsistencies or damage not caused by Company.
